Icicle Seafoods, Inc. — Position title: staff attorney (transactional); Location: Icicle Seafoods, Inc., Corporate office in Ballard area / Seattle
General description: Icicle Seafoods, Inc. is one of the largest seafood processing and marketing companies in the northwest. Under the direction of general counsel this individual will be responsible for a wide variety of business related transactions, including contract drafting and review; corporate entity formation; oversight of corporate records; and research, due diligence, drafting, review, and closing of business transactions. He/she will also provide general advice in the areas of corporate organization, contracts, risks, and liabilities to facilitate the achievement of business objectives while minimizing and mitigating legal risk. This position is exempt from overtime and reports to the general counsel and vice president of Risk Management.
Responsibilities:
•Drafts and reviews contracts and leases for all facets of the business and works with insurance providers to ensure contractual relationships are within coverage parameters and in accordance with the company’s best interests.
•Performs research, due diligence, documentation drafting and review related to potential business acquisitions.
•Maintains corporate records in an organized manner and establishes new business entities.
•Oversees electronic databases for licenses, permits, leases, and other contracts. Ensures all renewals are properly filed and renewed in a timely manner.
•Provides legal research and support as needed to support the company’s various departments.
•Ensures all transactions, activities, and business dealings conform to company policies and procedures.
•Other duties as assigned.
Requirements:
•Bachelor’s degree from an accredited college or university, Juris Doctorate degree from an accredited law school, admission to the Washington State Bar Association, and a minimum of 2 years of business law experience.
•Professional communication skills and the ability to work independently and as a member of a team.
•Excellent organizational skills and strong attention to detail.
•The ability to establish priorities and manage multiple transactions at one time and to maintain composure in a fast paced work environment.
•Proficiency in due diligence, research, contractual drafting and review, business analysis, and preparing technically precise and accurate documents.
•Willingness and availability to work extended hours as needed to meet the demands of the business.
•Strong proficiency in Microsoft Word, Excel, Outlook, and Adobe Acrobat.
